Please review these Terms of Use ("Terms") carefully, as they set forth the legally binding terms and conditions that govern your use of our website located at https://snapmint.app/ ("Website"), access to our mobile application user interface accessible via the Apple App Store at https://apps.apple.com/us/app/snapmint/id6737437664 (the "Interface" or "App"), together with related trademarks, software code, and other intellectual property, (To make these Terms easier to read, the Website, our other intellectual property, and our services are collectively called the "Site," or "SnapMint"). These Terms expressly cover your rights and obligations, and our disclaimers and limitations of legal liability, relating to your use of, and access to, the Site.

The Sites are copyrighted works belonging to Z10, Inc. ("Z10," "Company," "us," "our," and "we"), a Delaware corporation. Your submission of information, including personally identifiable information or personal data ("Personal Data"), through or in connection with the Site is governed by the terms of our privacy policy as updated from time to time ("Privacy Policy"). All such additional terms, guidelines, and rules, including our Privacy Policy, are incorporated by reference into these Terms.

IMPORTANT NOTICE REGARDING ARBITRATION: WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND Z10 THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 19 (DISPUTE RESOLUTION & ARBITRATION) BELOW FOR DETAILS REGARDING ARBITRATION. HOWEVER, IF YOU ARE A RESIDENT OF A JURISDICTION WHERE APPLICABLE LAW PROHIBITS ARBITRATION OF DISPUTES, THE AGREEMENT TO ARBITRATE IN SECTION 19 WILL NOT APPLY TO YOU BUT THE PROVISIONS OF SECTION 20 (GOVERNING LAW) WILL APPLY INSTEAD.

Please carefully review the disclosures and disclaimers set forth in Section 17 in their entirety before using any software initially developed by Z10. The information in Section 17 provides important details about the legal obligations associated with your use of the Site.

Agreement to Terms. By accessing and using our Site, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, you are not authorized to use the Site. Because our Site is evolving over time, we may change or discontinue all or any part of the Site, at any time, and without notice, at our sole discretion.

Privacy Policy. Please review our Privacy Policy, which also governs your use of the Site, for information on how we collect, use and share your information.

Description of the Interface

The Interface. The Interface, which is hosted by the Company, is a creator ("Creator") support platform that allows supporters of the creator to follow their favorite Creators and projects and provides an application through which our users ("User"), interact with Creators and their projects by, among other things, accessing blockchain based protocols to trade creator affiliated digital assets (such digital assets, "Creator Tokens") via their self-custodial wallets.

The App. The App allows Creators to launch their own digital assets by providing a user interface for Creators to deploy their own digital asset smart contracts via their self-custodial wallets and Users to view projects that have been launched by creators who have set up a project account and attached a contract address to the project. When Users find a project they would like to support, they can use the App to access certain blockchain based digital asset trading protocols "Trading Protocols" which are comprised of self executing smart contracts that are deployed on Solana, and potentially other networks in the future. The Trading Protocols, which are not developed, maintained, or operated by the Company, allows users to exchange a digital token or cash (that is then converted into digital tokens by Z10 custodial service providers), for tokens issued by the creators of the projects on the App (the "Creator Token").

Third Party Service Providers. In order to facilitate the exchange of Users' fiat currency into Creator Tokens, the Interface integrates custodial third-party payment and exchange services (each, a "Third-Party Service Provider"), including Stripe and Coinbase. These services may be accessed through the use of the Interface, but are provided directly by Stripe and Coinbase. By initiating any purchase of Creator Tokens using fiat currency, you acknowledge and agree that your use of the Interface is subject to the terms and privacy policies of Stripe and Coinbase, respectively. By using any Third-Party Service Provider through the Interface, you accept the applicable Third-Party Service Provider terms and assume all associated risks.

Trading Protocols. The Interface also allows Users to interact with the [list of protocol names] protocols, which are comprised of open source self-executing smart contracts that are deployed on permissionless public blockchains, such as Solana. The Trading Protocols allow Users to trade certain compatible digital assets. The Interface is distinct from the Trading Protocols and is one, but not the exclusive, means of accessing the Trading Protocols. Z10, or any entity it is associated with, did not develop and does not currently, or at any time ever, control or operate any version of the Trading Protocols on any blockchain network. By using the Interface, you understand that you are not buying or selling digital assets from us and that we do not control trade execution on the Trading Protocols. When traders pay fees for trades, those fees accrue to protocol and network participants, such as liquidity providers for the Trading Protocols. The Trading Protocols were deployed on blockchain networks by parties other than Z10.

Connecting to the Interface

Z10 may create or operate a blockchain based wallet on your behalf. This means that You do not need to manage private keys or wallet addresses directly. Instead, Your wallet is connected to Your account and is operated through the Interface. By creating an account, You agree to be bound by this Agreement and all of the terms incorporated herein by reference. You acknowledge that Your wallet operates on blockchain technology and may hold digital assets on your behalf and while Z10 takes reasonable measures to secure Your wallet, blockchain transactions are irreversible, and You bear all risk of loss or unauthorized access resulting from Your use of the Interface.

You may also be able to connect to the App with a compliant non-custodial digital asset wallet software, which allows you to interact with public blockchains, to access the Interface. Your relationship with that non-custodial wallet provider is governed by the applicable terms of use or service of such wallet provider. In such a case, we do not have custody or control over the contents of your wallet and have no ability to retrieve or transfer its contents. By connecting your wallet to our Interface, you agree to be bound by this Agreement and all of the terms incorporated herein by reference. You represent and warrant that you are the exclusive owner and controller of the wallet you use to connect to the Interface. You're responsible for all activities that occur under your account and are responsible for maintaining the confidentiality of any financial information related to your wallet.

The Creator Token

By accessing or using the Site in any way, you represent and warrant that:

You acknowledge and agree that (a) the Creator Tokens are speculative, involve a high degree of risk, may be illiquid, may have no value, have limited regulatory certainty, are subject to potential market manipulation risks and may expose purchasers to loss of principal; (b) purchasers of the Creator Tokens must be able to afford the loss of their entire purchase; (c) You will conduct your own due diligence on any Creator Tokens, not rely on any assumptions that may be displayed in the Site, and are encouraged to consult with a financial advisor, attorney, accountant, tax advisor, and any other professional that can help you to understand and assess the risks associated with any opportunity to purchase Creator Tokens; and (d) past performance is not indicative of future results.

You understand and acknowledge that (a) the Creator Tokens do not represent any ownership, equity, profit-sharing or entitlement to financial returns; and (b) the price of Creator Tokens may be impacted by reasons completely outside of Z10's or the Creator's control, including, but not limited to, general digital asset market conditions.

Identity Verification and Transaction Monitoring

You agree and acknowledge that We will collect User information in order to use certain features of the Interface. This may include, and is not limited to, the following: first and last name, X (formerly known as Twitter) handle, email, username, profile picture, and Wallet address. If you are unable to provide any of the requested information, you may be prevented from accessing certain features of the Interface. We will not be liable for any loss or damage arising from your failure to comply with this section.

You authorize us to make inquiries, whether directly or through third parties, that we consider necessary to verify your identity or protect you and/or us against fraud or other financial crime, and to act as we reasonably deem necessary based on the results of such inquiries. When we carry out these inquiries, you acknowledge and agree that your personal data may be disclosed to fraud prevention or financial crime agencies.

You agree and acknowledge that your Wallet address may be screened for regulatory compliance by a vendor when accessing the Site. By agreeing to these Terms, you are also agreeing to the terms and conditions and privacy policy of our Wallet screening vendor is when You access the Site. Any sharing of personal data between Z10 and our Wallet Screening Vendor is governed by the SnapMint Privacy Policy.

You agree and acknowledge that Z10 may review any necessary information to comply with applicable law and/or its internal compliance standards including monitoring on-chain activity associated with your Wallet. Z10 may further block certain transactions from being executed with the help of the Interface if we determine in our sole discretion such transactions would violate applicable law or would other not be permitted by these Terms.

Failure to provide any reasonably requested information pursuant to applicable money laundering and sanctions laws and regulations after you have become a User shall be grounds for the suspension of your account and/or termination of these Terms.

Use of the Site / Fees & Price Estimates

As a condition to accessing or using the Site, you represent and warrant to Z10 the following:

  • if you are entering into these Terms as an individual, that you are at least 18 years old or of legal age in the jurisdiction in which you reside, have the legal capacity to enter into these Terms and be bound by them, and are not otherwise barred from using the Site under applicable law;
  • if you are entering into these Terms as an entity, then you must have the legal authority to accept these Terms on that entity's behalf, in which case "you" (except as used in this paragraph) will mean that entity;
  • you are the exclusive beneficial and/or legal owner of any digital asset used or to be used for the purchase or sale of any digital asset on the Site;
  • you will comply with all applicable laws when using the Site;
  • you are not located in a country that is subject to a U.S. Government embargo;
  • you are not listed on any U.S. Government list of prohibited, sanctioned, or restricted parties;
  • you are not a resident, national, or agent of Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk People's Republic and Luhansk People's Republic regions of Ukraine or any other country to which the United States or any other country embargoes goods or imposes similar sanctions;
  • you have not been identified as a Specially Designated National or placed on any sanctions lists;
  • you do not intend to and will not transact with any Restricted Person or Sanctions List Person;
  • you do not, and will not, use VPN software or any other privacy or anonymization tools;
  • your access to the Site does not violate any applicable laws.

Fee Collection and Distribution

The Interface integrates with third-party protocols and wallet infrastructure providers to facilitate the collection and distribution of certain transaction fees associated with the use of Creator Tokens ("Fees"). Fees may be accrued via smart contracts hosted by our liquidity pool provider, Meteora. At regular intervals, the Interface interacts with Meteora's APIs to check the Fees accrued and initiate the transfer of those Fees to a designated holding wallet (the "Holding Wallet"), which is managed by TurnKey, a third-party wallet infrastructure provider.

Once received in the Holding Wallet, the Fees are distributed, as of the date of these Terms, as follows: (i) a portion to the Creator associated with the applicable Creator Token; (ii) a portion to the Company and (iii) a nominal portion (about 1%) to the original fee-paying wallet.

No Professional Advice or Fiduciary Duties

All information provided in connection with your access and use of the Site is for informational purposes only and should not be construed as professional advice. You should not take, or refrain from taking, any action based on any information contained on the Site or any other information that we make available at any time, including, without limitation, blog posts, articles, links to third-party content, discord content, news feeds, tutorials, tweets, and videos. Before you make any financial, legal, or other decisions involving the Site, you should seek independent professional advice from an individual who is licensed and qualified in the area for which such advice would be appropriate. The Terms are not intended to, and do not, create or impose any fiduciary duties on us. You further agree that the only duties and obligations that we owe you are those set out expressly in these Terms.

Prohibited Activity

You may not use the Site to engage in the categories of activity set forth below ("Prohibited Uses"). The specific activities set forth below are representative, but not exhaustive, of Prohibited Uses. If you are uncertain as to whether or not your use of the Site involves a Prohibited Use or have other questions about how these requirements apply to you, then please contact us at legal@snapmint.app. By using the Site, you confirm that you will not use the Site to do any of the following:

  • violate any Applicable Laws including, without limitation, any relevant and applicable anti-money laundering and anti-terrorist financing laws and sanctions programs;
  • engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy;
  • use the Site in any manner that could interfere with, disrupt, negatively affect, or inhibit other Users;
  • circumvent any content-filtering techniques, security measures or access controls;
  • use any robot, spider, crawler, scraper, or other automated means;
  • provide false, inaccurate, or misleading information;
  • use or access the Site to transmit or exchange digital assets that are the direct or indirect proceeds of any criminal or fraudulent activity;
  • use the Site in any way that is libelous, defamatory, profane, obscene, pornographic, sexually explicit, indecent, lewd, vulgar, suggestive, harassing, stalking, hateful, threatening, offensive, discriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive, or otherwise objectionable;
  • harass, abuse, or harm of another person or entity;
  • impersonate another User or otherwise misrepresent yourself;
  • encourage, induce, or assist any third party to engage in prohibited activities.

Proprietary Rights

Subject to these Terms, Z10 grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Site for your own personal and noncommercial use.

You acknowledge and agree that Z10 will have no obligation to provide you with any support or maintenance in connection with the Site.

You acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Site and its content are owned by Z10. Neither these Terms (nor your access to the Site) transfers to you or any third party any rights, title, or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in these Terms.

Risks

By accessing or using the Site in any way, you represent and warrant that:

You understand the inherent risks associated with cryptographic systems, blockchain-based networks, and digital assets, including but not limited to the usage and intricacies of native digital assets, like solana (SOL); smart contract-based tokens, systems that interact with blockchain-based networks; the risk of hardware, software, and Internet connection and service issues; the risk of malicious software introduction; and the risk that third parties may obtain unauthorized access to information stored within your digital wallet. Z10 does not own or control any of the underlying software through which blockchain networks are formed.

You acknowledge and agree (a) that Z10 is not responsible for the operation of the software and networks underlying the Site, (b) that there exists no guarantee of the functionality, security, or availability of that software and networks, and (c) that the underlying networks are subject to sudden changes in operating rules, such as those commonly referred to as "forks," which may materially affect the Site.

You understand blockchain networks use public/private key cryptography. You alone are responsible for securing any of your private key(s) when you interact with funds using self-custodial wallet software. We do not have access to your private key(s) for self-custodial wallet software. Losing control of your private key(s) will permanently and irreversibly deny you access to digital assets on blockchain-based networks.

Disclaimers

THE SITE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS, AND Z10 (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER Z10 NOR ITS SERVICE PROVIDERS INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS.

Dispute Resolution & Arbitration

Applicability of Arbitration Agreement. All claims and disputes (excluding claims for injunctive or other equitable relief as set forth below) between Z10 and any User that cannot be resolved informally or in small claims court shall be resolved solely by binding arbitration on an individual basis under the terms of this Arbitration Agreement.

Notice Requirement and Informal Dispute Resolution. Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute ("Notice") describing the nature and basis of the claim or dispute, and the requested relief.

Arbitration Rules. Arbitration shall be initiated through the American Arbitration Association ("AAA"), an established alternative dispute resolution provider ("ADR Provider") that offers arbitration as set forth in this section.

Governing Law

The interpretation and enforcement of these Terms, and any dispute related to these Terms or the Site, will be governed by and construed and enforced under the laws of the State of Delaware, as applicable, without regard to conflict of law rules or principles that would cause the application of the laws of any other jurisdiction.

General Information

These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an e-mail to the last e-mail address you provided to us (if any), and/or by prominently posting notice of the changes on our Website.
